Preparing for an IPO or first-time SEC filing?

Full-service XBRL vs. XBRL reporting software: what’s your fit?

Teams can change their reporting model over time. A company may begin with a full-service approach, relying on specialists to manage XBRL tagging and filing preparation, and later move recurring filings in-house using Rainbow as internal capability develops.

DataTracks offers both approaches, allowing you to change your reporting model without changing your provider.

Why tagging quality matters

XBRL is structured data. That means a filing can look correct to a human reader while still containing tagging, calculation, extension, or validation issues underneath.

  1. Tagging errors can trigger EDGAR validation issues, require rework, reduce data comparability, and affect how investors, analysts, and downstream data platforms interpret reported information.
  2. The SEC introduced mandatory XBRL financial-statement reporting on a phased basis beginning in 2009 and later transitioned applicable filings to Inline XBRL.
  3. Taxonomies continue to change, company-specific disclosures evolve, and data-quality checks continue to develop.
  4. Pre-filing review gives reporting teams an opportunity to identify potential issues before submission.

What are XBRL services?

Once the financial close is complete, your financial statements are primarily designed for people to read. XBRL adds a structured, machine-readable layer to that financial information.

An XBRL service involves mapping information required to be tagged to the appropriate taxonomy elements, applying the required tags across the filing, reviewing the structured data, and validating the completed report before submission.

For applicable SEC filings in the United States, XBRL is submitted using Inline XBRL. Instead of submitting the XBRL data separately, Inline XBRL embeds the XBRL tags directly into the HTML filing. This allows the same filing to be read by people and processed by software.

For SEC filings, a complete XBRL service typically covers six key areas:

1. Taxonomy selection

Each disclosure required to be tagged must be mapped to an appropriate taxonomy element.

For US GAAP filers, this typically starts with the applicable US GAAP taxonomy, together with other SEC taxonomies where required.

2. Extension elements

Sometimes the standard taxonomy does not contain an appropriate element for a company-specific disclosure.

In such cases, a custom extension element may be created. Extensions need to be used carefully and only where an appropriate standard concept is not available.

3. XBRL tagging

This is where the required financial and disclosure information is mapped and tagged.

Depending on the filing requirements, tagging may cover financial statements, disclosures, footnotes, and required document and entity information using both block and detailed tagging.

4. Validation

Tagging alone is not enough.

The completed filing should be checked for technical errors and inconsistencies and validated against applicable EDGAR requirements and relevant data-quality checks, including applicable XBRL US Data Quality Committee rules.

5. Tag roll-forward

Existing tags and mappings can often be carried forward from one reporting period to the next, reducing repetitive work.

Those tags must still be reviewed against changes in the financial statements, disclosures, and applicable taxonomy.

6. Filing preparation

Once the SEC filing has been tagged, reviewed, and validated, the XBRL filing package can be prepared for submission through EDGAR.

DataTracks handles these activities so the process requires less effort from your reporting team. You can work with us through a fully managed XBRL service or manage the reporting process in-house using DataTracks Rainbow, with specialist support available when required.

What’s the difference between full-service XBRL and XBRL reporting software?

With full-service XBRL, a DataTracks specialist handles the mapping, tagging, review, and validation while your team reviews and signs off on the completed filing.

With XBRL reporting software such as DataTracks Rainbow, your team manages the reporting and tagging workflow in-house, with validation capabilities and specialist support available when required.

Companies can also move from a managed-service model to an in-house software model as their internal reporting capability develops.

Companies subject to SEC structured-data requirements must tag the required information in their 10-K and 10-Q filings using XBRL.

For these filings, the XBRL data is submitted using Inline XBRL, which embeds the machine-readable XBRL tags directly into the HTML filing.

The 10-K and 10-Q are SEC filing forms; Inline XBRL is the format used to incorporate the required XBRL data within those filings.

Inline XBRL is a format that allows XBRL data to be embedded directly into a human-readable HTML document.

For applicable SEC filings, this means companies can submit one filing that can be read by people while the tagged information can also be processed by software.

Inline XBRL is therefore a way of presenting XBRL data, rather than a separate reporting standard from XBRL.

Yes. DataTracks can independently review existing XBRL tagging before filing. The review can cover element selection, extensions, calculations, technical validation issues, and applicable data-quality checks.

Incorrect tagging can create validation issues, require rework, reduce the comparability of reported information, or cause downstream users and analytics platforms to interpret the data incorrectly.

Reviewing and validating the filing before submission helps identify these issues earlier in the process.

Turnaround depends on the size and complexity of the filing and whether it is a first-time tagging exercise or a roll-forward from an earlier period.

For recurring filings, existing mappings and tags can often be carried forward and then reviewed against changes in the current-period filing and applicable taxonomy.
